Shareholder Management Made Simple
The enhanced Share Allocation experience in Vistra Digital gives you a clearer way to manage current shareholders while maintaining a comprehensive history of changes to an entity’s shareholdings.
From one central location, you can view active shareholders, issue or transfer shares, record share buybacks, review historical transactions and maintain supporting documentation.
🚀 Key Takeaway: Keep your entity’s current shareholding position and historical share activity connected in one place, with changes automatically reflected across shareholder balances and the audit trail.
Key Features and Capabilities
👥 Active Shareholders
The Active Shareholders tab shows all shareholders who currently hold shares in the entity, including their shareholding, share type/class, and issued and paid-up capital.
Depending on your permissions, you can add or remove shareholders, perform bulk removals, and initiate share transactions. Shareholders whose total holding reaches zero will automatically be removed from the Active Shareholders list.
🔄 Shareholder Transactions
The Shareholder Transactions tab displays a chronological history of shareholding activities, including balance initialization, share issuance, buybacks, and transfers.
Each record includes transaction details such as date, shareholder, share type, number of shares, and applicable amounts. Use search and filters to locate transactions by shareholder, transaction type, share type, or date.
🗂 Manage Share Types
Share types can be maintained directly from the entity’s Share Allocation section. It allows you to manage share types and classes, including their names, symbols, shares issued, voting rights, and dividend eligibility.
This provides a structured way to distinguish between different classes of shares within the same legal entity.
✏️ Correct Share Transaction Records
Users with appropriate permissions can edit or delete eligible share transactions to correct details such as transaction date, number of shares, price per share, and amount paid.
Vistra Digital automatically recalculates affected shareholding balances after any changes or deletions. Updates that would result in invalid balances, such as negative shareholdings, are not permitted.
How It Works
Step 1: Open the Entity
Navigate to Legal Entities and select the entity you want to review.
Open the Share Allocation tab.
Step 2: View Shareholders
Under Shareholders, select See All.
You can switch between:
Active Shareholders for the entity’s current ownership position
Shareholder Transactions for its historical shareholding activity
Step 3: Add a Transaction
Select Add Transaction and choose the required transaction type:
Shares Issued
Share Buy Back
Share Transfer
Complete the required transaction details and confirm.
Step 4: Review the Updated Shareholding
Vistra Digital automatically updates the relevant shareholder balances based on the transaction. The transaction is then added to the Shareholder Transactions history and relevant activity is captured within the Audit Trail.
Security and Auditability 🔒
Shareholding actions are controlled by user permissions, allowing authorised users to create, edit, or delete transactions, while view-only users can review records.
The Audit Trail tracks key activities, including shareholder changes, share transactions, updates, deletions, comments, documents, and share type changes, capturing user details and timestamps for accountability.

Common Questions
What is the difference between Active Shareholders and Shareholder Transactions?
Active Shareholders shows the entity’s current shareholders who have a non-zero shareholding.
Shareholder Transactions provides the historical record of activities that changed those shareholdings, such as share issues, transfers and buybacks.
What happens when a shareholder's balance reaches zero?
If a transaction reduces a shareholder’s total holding to zero, the shareholder will no longer appear in the Active Shareholders list. Their historical transactions remain available for reference.
Can I transfer more shares than a shareholder owns?
No. Vistra Digital validates the available holding and prevents transactions that would result in a negative share balance.
What happens when I transfer shares?
The transferring shareholder’s balance is reduced and the receiving shareholder’s balance is increased by the corresponding amount. The transaction history captures both sides of the transfer.
Can supporting documents be stored against a transaction?
Yes. Supporting documents can be attached directly to a share transaction, allowing relevant evidence and documentation to remain connected to the transaction record.
Summary
The enhanced Shareholder Transactions experience brings current ownership information and historical shareholding activity together within Vistra Digital.
By providing structured workflows for issuing, transferring and buying back shares — together with transaction history, supporting documents, comments, permissions and audit logging — users can maintain more accurate and transparent shareholder records throughout the lifecycle of an entity.
